




Job Summary: A professional to support the corporate legal team in drafting complex contracts, corporate acts, regulatory monitoring, tender analysis, and providing support on labor and tax matters. Regulatory monitoring and tender analysis Responsible for supporting the Company’s corporate legal team in drafting highly complex and diverse contracts; preparing the Company’s corporate acts and registering them with the Commercial Registry (Junta Comercial); updating the Company’s corporate books; monitoring and responding to official letters issued by the Superintendence of Private Insurance (SUSEP); analyzing tender notices (Editais de licitação); and providing support to the Company’s departments on labor and tax matters. **Responsibilities and Duties:** * Draft, review, and analyze contracts of various types—including highly complex ones—identifying risks and adopting necessary measures to mitigate such risks, thereby reducing potential exposures and impacts to the Company. These include: service provision contracts; advisory and consulting contracts; contracts with financial institutions, including those related to investment funds; sponsorship contracts; technology contracts—whether for implementing a tool or software or obtaining a license—and others. Familiarity with the NETLEX platform is desirable; * Prepare minutes of Ordinary General Meetings, Extraordinary General Meetings, Board of Directors meetings, and Executive Board meetings of the Company, registering them with the Commercial Registry of the State of Minas Gerais (JUCEMG) and the Commercial Registry of the State of São Paulo (JUCESP), as required, ensuring that information is updated in the Brazilian Federal Revenue’s REDESIM system where applicable. The insurer’s corporate books must also be kept up to date to accurately reflect the corporate acts performed by the Company; * Monitor and respond promptly to official letters issued by the Superintendence of Private Insurance (“SUSEP”), which carry regulatory weight, and liaise with other business areas to gather information requested by the regulatory agency, ensuring compliance with regulatory requirements; * Conduct analysis of tender notices (Editais de licitação), assessing whether any impediment exists to the Company’s participation in the respective tender process. Arrange the necessary documentation for the insurer’s qualification in such proceedings, providing guidance, direction, and clarification to the Company’s business areas involved in public procurement matters. Analyze the contract that may eventually be executed with the Public Administration, identifying points requiring attention that could impact the insurer. Timely draft and submit challenges (impugnações) to the tender notice to safeguard the insurer’s interests within the said tender process; * Support the Company’s Human Resources team by clarifying doubts, drafting legal opinions, and providing guidance on labor law matters, ensuring the Company complies with provisions set forth in labor legislation; * Support the Company’s Tax and Accounting teams by clarifying doubts, drafting legal opinions, and preparing responses to possible summonses received from the Brazilian Federal Revenue.
