Execute and control medium- and high-complexity corporate routines, drafting minutes, resolutions, contracts, and filings with public authorities. Maintain business registries and meet statutory deadlines, ensuring regulatory compliance, document organization, and alignment with Fource’s corporate governance processes.
**MAIN RESPONSIBILITIES:**
* Draft and review articles of incorporation, minutes, and other medium-complexity corporate acts.
* Register and update business information with public authorities.
* Monitor deadlines for filings, publications, and corporate registrations.
* Organize and maintain physical and digital corporate archives.
* Support audit and legal due diligence processes by providing information and documents.
* Generate corporate compliance control reports and area performance indicators.
* Participate in meetings with regulatory bodies and external partners.
* Perform tasks under guidance from senior staff or coordinators, progressively assuming greater autonomy.
* Propose improvements to controls and standardization of corporate processes.
* Contribute to aligning the department with Fource’s corporate policies.
**TECHNICAL REQUIREMENTS:**
* Education: Bachelor’s degree completed in Business Administration, Law, or Accounting.
* Desired specializations: Advanced practical knowledge of LTDA and SA structures, simple reorganization acts, corporate governance, and internal controls.
* Experience: 3–5 years of experience executing and controlling medium-complexity corporate acts (e.g., transformations, capital contributions, equity/shares, branch establishments); interface with notary offices (RTD/RCPJ) and official publications.
* Tools: REDESIM, Juntas Comerciais, RFB/Conecte RJ, E\-CAC, Diário Oficial, e\-Notariado/RTD, Legal One (intermediate level), PJE, Projudi, and advanced Excel.

* Management of deadlines, filings, and requirements with registration authorities and notary offices.
* Control and updating of powers-of-attorney matrices, corporate books, and institutional registries.
