We are seeking a professional to work in Corporate Law, Capital Markets, and Mergers & Acquisitions (M&A), with hands-on experience in M&A transactions, complex corporate restructurings, capital markets, foreign investment, and corporate governance. Candidates must possess solid expertise in Business Law and a consultative approach focused on delivering strategic legal solutions for domestic and international clients. **Your Responsibilities and Challenges Will Include:** * Drafting, reviewing, and negotiating corporate and contractual instruments, including share/interest purchase agreements (SPAs), shareholders’ agreements, memoranda of understanding (MoUs), minutes, bylaws, and contractual amendments; * Managing corporate reorganization projects (spin-offs, incorporations, mergers, and conversions), coordinating closings and post-transaction follow-up, advising on corporate governance, and providing general corporate legal counsel for strategic clients and matters; * Preparing legal opinions, memoranda, and advisory notes on corporate law, capital markets, and regulation applicable to publicly traded or limited liability companies; * Supporting the development of legal strategies for investment, venture capital, and private equity transactions, in collaboration with multidisciplinary teams; * Interacting with public agencies and regulators—including the Central Bank, CVM (Securities and Exchange Commission), and CADE (Administrative Council for Economic Defense)—monitoring administrative proceedings and arranging registrations and authorizations; * Direct client contact and meetings; * Analyzing and monitoring developments in corporate legislation, capital markets, M&A, taxation, and related regulations—including changes to federal, state, and municipal laws; * Drafting client-facing notes/articles on legislative updates, case law, and topics related to corporate law, capital markets, and M&A. **Requirements and Desired Profile:** * Completed Law degree; * Advanced/Fluent English preferred; * Active membership in the Brazilian Bar Association (OAB); * Proficiency in Microsoft Office suite; * Experience in Corporate Law/M&A; * Familiarity with the ADVWIN+ system is a plus; * Knowledge of agile methodology tools (e.g., monday.com) is a plus; * Availability for in-person work in Belo Horizonte. **What We Offer:** * Competitive fixed salary; * Profit-sharing program (PLR); * Total Pass transportation benefit; * Transparency and effective professional development; * Flexible benefits card (Swile); * Birthday day off; * Language school partnership; * Collaborative work environment with continuous learning opportunities; * Professional growth potential and real-case mentoring under experienced practitioners; and * Happy hours and various celebrations.
