The professional will be responsible for ensuring technical excellence, legal security, and operational efficiency in the **drafting, review, and management of contracts and advisory matters** supporting Patrimar Group’s business activities, while guaranteeing regulatory compliance, risk mitigation, and alignment with corporate strategies. **Responsibilities** * Draft, review, and support negotiation of civil, commercial, and sector-specific contracts (e.g., supply, services, construction, real estate, technology, confidentiality, guarantees), including risk assessment and definition of critical clauses (SLAs, penalties, termination, guarantees, intellectual property, LGPD); * Lead negotiations and discussions regarding claims and disputes with suppliers, partners, and clients; document positions, redlines, and meeting minutes; advise internal departments on operational impacts and contractual obligations; * Implement and maintain contract governance (tracking deadlines, validity periods, amendments, renewals, terminations, obligations to perform/pay), including performance indicators and executive reports; * Support contractual due diligence for new businesses, SPEs/SCPs, and asset acquisition/disposal transactions; * Ensure compliance with applicable regulations (civil, commercial, real estate, consumer protection, data privacy), proposing continuous improvements to policies, templates, and standard clauses; * Conduct internal training on contractual best practices and disseminate standardized templates. **Requirements (Mandatory)** * Bachelor’s degree in Law and active registration with the Brazilian Bar Association (OAB). * Solid experience in contracts (drafting, reviewing, negotiating, and managing) within corporations, real estate developers/construction companies, or law firms handling high-volume and complex agreements; * Proficiency in risk assessment, drafting of critical clauses, and business-oriented contractual analysis; * Clear legal reasoning, concise written communication, and strong negotiation skills; * Portfolio-based demand management, including prioritization, deadline adherence, and effective cross-departmental communication; * Thorough knowledge of contract law and solid understanding of corporate and real estate law; familiarity with LGPD; * Proficiency in productivity tools (Microsoft 365) and contract management systems (CLM/spreadsheets). **Preferred Qualifications** * Postgraduate degree or specialization in Corporate or Real Estate Law; * Experience with SPEs/SCPs, construction contracts, and strategic suppliers; * Experience in due diligence and contractual structuring of real estate development/incorporation projects; * Prior involvement in compliance and contract governance (policies, standards, metrics); * English proficiency for reading and negotiation. **Behavioral Competencies** * Logical reasoning, attention to detail, and a hands-on attitude; * Clear communication, solution-oriented legal argumentation, and multidisciplinary collaboration; * Prioritization skills, autonomy with accountability, and sense of urgency; * Analytical profile with business acumen and risk mitigation mindset.
