The professional will work side-by-side with the Senior Legal Manager, supporting the Legal team on high-priority corporate matters, assisting with team management, and ensuring legal certainty, efficiency, and governance within a dynamic and innovative environment. Role Responsibilities: ### **1. Contracts and Commercial Operations** * Draft, review, and negotiate domestic and international commercial contracts of various types (Supply, Services, Sponsorship, SaaS, Franchising, Logistics, etc.). * Support structured and transactional contracts, including those with major clients and public agencies. * Assist with internal procurement policies and document standardization. ### **2. Corporate, Governance, M&A** * Handle corporate routines: drafting corporate acts, updating registration records, documentary compliance, and group company governance. * Prepare and review materials for board meetings and shareholder assemblies. * Support acquisitions, participation in investment funds, and regulatory governance with the Central Bank of Brazil (BACEN). ### **3. Competition Law** * Assist in analyzing initiatives and commercial practices from a competition law compliance perspective. * Contribute to delivering training and disseminating internal antitrust policies. * Gather supporting documentation related to public authority requests on competition-related matters. ### **4. Intellectual Property & Copyright** * Support management of trademarks, industrial designs, patents, copyrights, software, and intercompany agreements. * Analyze licensing, assignment of rights, and image-use agreements. * Monitor administrative disputes and litigation related to these topics. ### **5. Legal Marketing** * Review and approve advertising campaigns, promotional activations, media assets, coupon policies, and growth initiatives. * Ensure compliance with CONAR regulations, image rights, LGPD, and digital platform rules. * Assess and provide legal guidance for promotional initiatives registrable with SPA/Ministry of Finance. ### **6. Public Bidding and Administrative Contracts** * Analyze bidding notices; draft expressions of interest; identify required documentation for participation in tenders; and support internal teams during tender processes. * Analyze and negotiate administrative contracts, addenda, and related instruments. ### **7. Product** * Review contracts and policies related to digital wallets, payment acquiring, and anti-fraud measures. Draft and review terms & conditions, as well as regulations for various business initiatives involving drivers, restaurants, and consumers. * * Review new app features, wording, and functionalities, assessing the materiality of potential impacts on drivers, restaurants, and consumers. ### **8. Legal Management and Internal Coordination** * Manage legal requests via internal legal system, deadlines, controls, and KPIs. * Collaborate with departments such as Food Commercial, B2B, Finance, Product, Technology, Marketing, Logistics, and Compliance. * Expertise in developing new legal management solutions, agile methodology, and implementing legal tech tools. Role Qualifications: * Law degree and active OAB registration. * Postgraduate specialization or Master’s degree in areas aligned with the Legal Business Management function. * Prior relevant experience in technology companies, payment institutions, startups, or corporate law firms (in-house). * Solid knowledge of **civil law, contract law, corporate law, M&A, competition law**, and **intellectual property**. * Experience in **legal marketing** and approval of marketing actions and campaigns. * Familiarity with **public bidding**, administrative contracts, logistics contracts, and mobility-related topics is a plus. * Fluent English. * Organized, collaborative, agile profile with capacity to manage multiple demands and prioritize effectively.
