*** Previous experience in the role required: * **Company Formation and Closure**: Drafting and registering the initial articles of incorporation, bylaws, and other documents required to establish new companies, as well as managing the entire closure (deregistration) process when necessary. * **Contractual Amendments**: Preparing and registering amendments to corporate documents, such as changes to company name, address, share capital, inclusion or withdrawal of partners, and modifications to business activities (fiscal CNAE). * **Issuance and Management of Certificates**: Requesting, obtaining, and tracking negative certificates and other documents from issuing authorities, ensuring the company’s tax and registration compliance. * **Filing and Tracking of Procedures**: Conducting formalities and submitting documents to public agencies, including Commercial Registries (NIRE registration), Federal Revenue Service (CNPJ), Social Security Institute (INSS), State Secretariats, and Municipal Prefectures. * **Licenses and Permits**: Managing procedures for obtaining and renewing operating licenses, health permits, fire department permits, among others. * **Organization and Archiving**: Maintaining and organizing mandatory corporate books and all legal and contractual documentation of the company. * **Research and Support**: Conducting registry and factual research to verify companies’ statuses, providing direct support to responsible lawyers or accountants.
